* Spearhead all legal aspects of property transactions, including land acquisition, development, and asset deals, ensuring seamless execution and minimizing risk. * Architect and negotiate complex agreements, such as sale contracts, MoUs, JVs, and lease deeds, to drive business growth and protect company interests. * Drive regulatory compliance, managing relationships with key authorities, including sub-registrar offices, RAJUK, and City Corporation, to ensure smooth operations. * Lead property litigation, including eviction proceedings and title disputes, collaborating with external advocates to achieve favorable outcomes. * Champion corporate governance, supporting the company secretary in maintaining statutory registers, board resolutions, and filing obligations under the Companies Act. * Provide expert legal guidance for ACI Properties and future digital ventures, including platform terms, privacy policies, and digital commerce compliance. * Develop and review franchise, licensing, and distribution arrangements, ensuring alignment with business objectives and regulatory requirements. * Monitor and ensure compliance with relevant Bangladesh laws, including the Companies Act, Land Registration Act, and Digital Security Act, to mitigate risk and ensure business continuity. * Foster strong relationships with regulatory bodies, such as RJSC, NBR, and BIDA, to facilitate filings, approvals, and compliance matters. * Manage a compliance calendar, tracking regulatory changes and analyzing their impact on the business. * Oversee all ongoing and anticipated litigation, including civil, commercial, and regulatory matters, appointing and supervising external counsel as needed. * Design legal frameworks for digital service launches, including e-commerce terms, travel booking conditions, and user data policies. * Protect intellectual property rights, handling trademark registration, software licensing, and domain and brand protection matters. * Bring a strong track record of handling complex land transactions, title due diligence, and property litigation in Bangladesh, with familiarity with local regulatory processes. * Leverage prior experience as in-house counsel in a property developer, diversified conglomerate, or financial institution to drive business growth and minimize risk. * Apply knowledge of digital business legal structures, including e-commerce, to drive innovation and compliance in ACI Properties' digital ventures.
