Head of Legal & Corporate Affairs (Legal + Business Leader)

* Spearhead the development of a comprehensive corporate legal ecosystem, driving regulatory compliance, business expansion, and revenue growth. * Architect and implement corporate structuring and company formation strategies, including private limited, public limited, and one-person company setups, as well as foreign company registrations and liaison/branch office setups. * Lead international business setup and global compliance efforts, including company formation in the UK, USA, and other jurisdictions, offshore structuring, and cross-border advisory services. * Drive corporate compliance and governance, overseeing RJSC filings, annual returns, and compliance, as well as developing corporate governance frameworks, board structuring, and SOPs. * Develop and execute capital, share, and ownership structuring strategies, including authorized and paid-up capital management, share transfer and restructuring, and equity structuring. * Manage licensing and regulatory affairs, including trade licenses, recruiting licenses, fire licenses, and environmental clearances, as well as ministry approvals and specialized licenses. * Oversee tax, VAT, and financial compliance, including VAT registration and returns, income tax filing, and tax planning and advisory services. * Protect intellectual property rights, including trademark and copyright registration, and develop IP protection strategies. * Draft and vet advanced legal documentation, including NDAs, MOUs, agreements, shareholder agreements, and commercial contracts. * Provide strategic legal advisory services, including ongoing corporate legal advisory, risk assessment, and compliance strategy development. * Drive investment, FDI, and corporate structuring efforts, including FDI structuring, startup and VC documentation, and JV and holding structure advisory services. * Lead mergers, acquisitions, and due diligence efforts, including legal due diligence, business acquisition structuring, and share purchase and asset transfer agreements. * Manage dispute resolution and litigation support, including corporate dispute handling, arbitration, and settlement support. * Ensure immigration and expat compliance, including work permits, investor and business visas, and foreign employee compliance. * Develop and implement digital and cyber legal compliance strategies, including e-commerce compliance, data protection, and privacy policies. * Provide banking and financial legal support, including loan and financing agreements, corporate banking documentation, and bank guarantees and LC vetting. * Identify and mitigate legal risks, developing crisis management and risk control strategies to protect the organization's interests.
